Terms of Service - FlowMatrix

1. Definitions

"Software" refers to all FlowMatriX products, including the FlowMatrix Suite (free indicators, drawing tools, and software such as NTCleaner) and FlowMatriX DOM Pro (paid add-on).
"FlowMatrix Suite" refers to the free collection of indicators, drawing tools, and utilities provided at no cost.
"DOM Pro" refers to the FlowMatriX DOM Pro Depth of Market add-on, a paid product requiring an active subscription.
"Pulse Billing" refers to the third-party payment and license management platform operated by SecureTeam, used to process all DOM Pro transactions.

FlowMatriX grants you a non-exclusive, non-transferable, revocable license to:

You may not:

Share, resell, sublicense, or distribute the Software (including source or compiled code).
Use the Software on multiple users' machines without a separate license per user.
Reverse engineer, decompile, or modify the Software (except where expressly permitted by law).
Attempt to bypass, circumvent, or tamper with the license validation system.

The FlowMatrix Suite is provided free of charge. No license key or activation is required.
All suite features (indicators, drawing tools, NTCleaner) are available immediately upon installation.
The FlowMatrix Suite will remain free. FlowMatriX reserves the right to modify the contents of the suite at any time.

DOM Pro requires an active paid subscription to use. Two plans are available: Monthly ($25/month) and Yearly ($200/year).
Your DOM Pro license is tied to your NinjaTrader 8 machine ID and managed through your Pulse Billing account.
Upon subscribing, your license is activated automatically. The Software validates your license periodically.
If your subscription expires or is cancelled, DOM Pro features will be deactivated at the end of your billing period. The free FlowMatrix Suite remains fully functional.
FlowMatriX reserves the right to adjust pricing with reasonable notice. Price changes do not affect active billing periods.

All DOM Pro payments are processed exclusively through Pulse Billing, a secure payment platform operated by SecureTeam.
FlowMatriX does not collect, store, or have access to your payment information (credit card numbers, banking details, etc.). All sensitive data is handled entirely by Pulse Billing.
Subscriptions renew automatically at the end of each billing period unless cancelled.
You may cancel your subscription at any time through your Pulse Billing account. Cancellation takes effect at the end of the current billing period — no partial refunds are issued for unused time.

All rights, title, and interest in the Software (both free and paid) remain exclusively owned by FlowMatriX.
You acquire no ownership rights — only a limited usage license as described in these Terms.
Unauthorized copying, distribution, or resale constitutes copyright infringement.

The Software is for informational and technical analysis purposes only.
FlowMatriX does not provide trading, investment, or financial advice.
Past performance does not equal future results. Trading involves substantial risk of loss.
You are solely responsible for your trading decisions. FlowMatriX is not liable for any financial losses incurred while using the Software.

The Software is provided "as is", without warranties of any kind (express or implied). FlowMatriX disclaims all liability for:

Trading losses, missed trades, data errors, or platform incompatibilities.
Indirect, incidental, or consequential damages.
Service interruptions, license validation failures, or third-party outages (including Pulse Billing or NinjaTrader).

You use the Software at your own risk.

FlowMatriX may terminate your license immediately if you:

Breach these Terms.
Attempt to bypass, circumvent, or tamper with the license validation or subscription system.
Share, redistribute, or resell your license or the Software.
Use the Software for commercial redistribution, automated trading services, or multi-user setups without written permission.

Upon termination, you must delete all copies of the Software. No refund is provided for revoked licenses due to Terms violations.

Updates are included with your license (free for suite, included in active DOM Pro subscription).
Support is provided via email and Discord. DOM Pro subscribers receive priority support.
Support does not include customization, bug fixes for NT8 platform issues, or third-party conflicts.
FlowMatriX is not obligated to maintain backward compatibility with older versions of NinjaTrader.

The Software may communicate with FlowMatriX servers and Pulse Billing for license validation purposes.
FlowMatriX does not collect trading data, personal financial information, or monitor your trading activity.
Payment data is handled exclusively by Pulse Billing (SecureTeam) and is subject to their privacy policy.

These Terms are governed by the laws of France.
Any dispute shall be subject to the exclusive jurisdiction of the courts of Paris, France, unless prohibited by mandatory consumer protection law.
